Buying a Property Through a Croatian Company

Can a foreigner purchase property in Croatia?

Foreigners are allowed to purchase property in Croatia. If you are an EU citizen then you have the same rights to buy real estate as a Croatian citizen. People from third-country nations, (non-EU) can purchase land if their country of citizenship has a reciprocity agreement with Croatia. This process can take 1-6 months to be approved.

Create a Croatian company to purchase real estate

An alternative and quicker solution would is to establish a Croatian company and use it to purchase property. A Croatian firm has the same legal rights as a Croatian citizen. A person of any nationality can establish a private company in Croatia. The company can purchase the property and going forward it will be the holder of ownership. The foreign citizen(s) would be the owner(s) of a share of the company.  The most simple and common is a limited liability or J.O.O. company.

Preliminary points to consider when creating a Croatian company J.O.O.

  • Decide on a name for the company.  Use any part of your name, words in Croatian or any EU language so long as it can be justified to the notary and register with HITRO.HR
  • Pick an accountant and address. The firm’s address can be that of the accountant.
  • Consider the activities of the company. Include things related to real estate and tourism.
  • Capital investment of 20,000 kuna. This can be used for activities or services related to the firm once it has been established.

Steps to start a Croatian Company J.O.O.

  1. Obtain a personal OIB, identification number. Needed for the notary and to establish a bank account. Company will have its own OIB once established.
  2. Sign the official act document at notary to establish the company, requires presence of founders and directors of the firm or power of attorney.
  3. Deposit 20,000 HRK, the minimum initial capital, in the bank the firm will use (most common banks are Zagrebacka, PBZ and Ralffeisen) or FINA (financial institution).

Wait 2-7 days for the court to approve the establishment of the company.

Once approved and you have the final documents from FINA

  • Create a stamp for the company. Include company name, company’s OIB, full address and contact info for the firm.
  • Open company’s bank account most likely where you have made the capital deposit.
  • Sign contract with accountant.  An accountant will cost approximately 1000-1500 Euros per a year.
  • Register company in VAT system and VAT-EU for European transactions. The accountant should handle this detail so that the company can be found in the VIES system. This will allow your company to receive a refund for purchases that include 25% VAT (45-60 days).

Proceed with purchasing the property through the company

Most likely you have picked out a property and may have previously signed a preliminary agreement establishing costs and procedure of payment.

Once the company is finalized it can now purchase the property. The seller and company representative can sign the sales contract at the office of the notary. Payment for the property is made from the company’s account in kunas. Once the funds have arrived in the seller’s account the notary must issue a deposited document.  This will be submitted to the economic court to be accounted for in the State Register. Once these steps are completed the buyer (company) will receive the title.

In 3-4 Wochen: Alle endgĂŒltigen Projekte sollten fertig sein und an die Abteilung fĂŒr Raumplanung und Bau in Pula geschickt werden, um die endgĂŒltige Baugenehmigung zu erhalten.

August: Wir werden die VorvertrÀge mit Ihnen, Investoren, unterzeichnen.
Der Vertrag enthĂ€lt die wichtigsten verfĂŒgbaren Projektdokumentationen (Hauptprojekte, Materialliste, Masterplan des GrundstĂŒcks).

Oktober: Baubeginn.

2. Halbjahr 2022: Bau soll abgeschlossen sein & Beginn der Vermietung.

Die VertrÀge sollen im August unterzeichnet werden.

1 – Wir kĂŒmmern uns um die Vertragserstellung und die damit verbundenen Kosten

2 – Die Vorauszahlungen erfolgen nicht auf unser Firmenkonto, sondern an den Notar. Wir erhalten Ihre Zahlungen erst, wenn ein bestimmter Schritt abgeschlossen und zertifiziert ist (z.B. Baugenehmigung erteilt oder ein Bauschritt nach dem Bericht eines Bauleiters abgeschlossen).

Bitte beachten Sie: Wir tun dies, um Ihnen zusÀtzlichen Schutz zu bieten und den erfolgreichen Abschluss des Projekts zu garantieren.

3 – Jeder Bauschritt wird von einem Auftragnehmer als Ergebnis einer Ausschreibung ausgefĂŒhrt. Dies bedeutet fĂŒr Sie die höchste Spezialisierung jedes Auftragnehmers und eine einfachere Kontrolle und Verwaltung von unserer Seite.

Der Projektmanager, der Ingenieur von Candy Brick, verwaltet diesen Teil vom Anfang (eigentlich von der Auswahl des Designstudios) bis zum Ende des Projekts (Einholen der Nutzungsgenehmigung).

– Der Masterplan, der Querschnitt, die Hauptprojekte, die Materialliste sind dem Vertrag beigefĂŒgt.
So haben Sie die Gewissheit, was Sie kaufen.

The start is getting closer!

We are starting the realization of the new modern Candy Brick villas quite soon!

Main Project Deadlines 

Next week: we will collect conditions for the connections to the water and electricity.

In 3-4 weeks: all the final projects should be ready and, so we will send them to the Department of Physical Planning and Construction in Pula in order to receive the final building permit. 

August: we will sign the preliminary contracts with you, investors.
The contract contains the main project documentation available (main projects, list of materials, masterplan of the plot). 

October: construction should be starting.

2nd half 2022: construction should be completed & rental activity starts.

Official preliminary contracts

We will sign the preliminary contracts in August.

When you buy a Candy Brick villa:

1 – We take care of the preparation of the contract and the associated costs.

2 – You will not make the advance payments to our company’s account, but to the public notary. We only receive your payments after a certain step is completed and certified (f.e. building permit issued, or some construction step completed after the report of a supervisor engineer).

Please note: we do this to offer you extra protection, and guarantee the successful completion of the project. 

3 – Each step of the construction is executed by a contractor as the result of a tender. This means for you, the highest specialization of each contractor, and easier control and management from our side.
The Project Manager, Candy Brick’s engineer, manages this part from the start (actually from the selection of the design studio) to the end of the project (obtaining the usage permit

4 – The master plan, cross-section, main projects, list of the materials, are all attached to the contract.
In this way, you are certain of what you are buying

Laguna Marina: Villas available

You reserved some more villas, so actually, we reached our target.

Being a bit flexible, we can sell one more villa. One extra place is possible, but not more.

The reason is that our company strategy is to keep part of the villas, and this is what we are doing in each project

Why?

  • the villas are beautiful, new, modern, long-lasting;
  • the rental is very positive all year long, making a good rental income;
  • the prices will probably increase in the next 2-3 years, especially when Croatia will join the Eurozone.

Update on Laguna Marina

To conclude this email I would like to give you a further update on the Laguna Marina villas.
Last week, together with the chief architect and our engineer, we met the mechanical static engineer.

We presented to him that we want to limit the number of pillars under the oriel, which is covering the outside terrace, the barbeque zone, and the sundeck, as we want to achieve a modern look. 

The engineer analyzed the project and already gave us the great news that we won’t need many pillars as he will increase the quantities of steel and concrete to hold our modern ideas 🙂

Following the part with the engineer, we defined that the gutters will be hidden in the facades (a successful solution from Silent Valley in use for a few years).

In addition, we would like to have natural stone in the BBQ zone, joining in this way modern villa with the elements of the Istrian/Mediterranean tradition. 

Last week we also met the mechanical engineer, and we are waiting for the exact calculations in order to select the most effective solution for the heating & cooling system.

Later on, we will move ahead with projecting the installation of the photovoltaic panels in your villa. As we want that in Laguna Marina, you benefit from the solar energy, as the villas in Silent Valley do!

Schengen Area: Croatia plans to join until 2020

Schengen is, in fact, named after a village situated in Luxembourg, a small country surrounded entirely by Belgium, France and Germany. In 1985, the cooperation of governments directed to the signing of an agreement, in this agreement it was fixed a gradual abolition on checks and control on the border, easing the free movement of the european working population, that needs entering and exiting those borders.

In 1990, there was the implementation of this agreement, it started with 7 EU States in 1995 and now, is implemented as part of the body of rules governing the European Union.
